These Terms of Service govern your access to and use of the ARCHON-09 autonomous agent platform, including our website, console, APIs, and related services. By accessing or using the service, submitting a request-access form, or otherwise indicating your agreement, you accept these terms in full. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization, and references to you include that entity. If you do not agree with any part of these terms, you must not use the service. These terms incorporate our Privacy Policy and any supplemental policies or order forms we provide. We may require additional agreements for specific features, which will apply in addition to these terms.
ARCHON-09 provides infrastructure for deploying, orchestrating, and monitoring autonomous software agents that can plan and execute tasks across connected tools and systems. The service includes agent runtimes, a memory layer, tool protocols, an execution engine, and a management console with telemetry and logging. Capabilities, limits, and availability may evolve as we develop the platform, and certain features may be offered in preview or beta form without commitments regarding stability or support. The service is intended for technical and professional use. You are responsible for configuring agents, defining their permissions, and integrating them with your own systems. We do not guarantee that the service will meet every requirement or produce any particular outcome from agent execution.
To use ARCHON-09, you must be at least the age of majority in your jurisdiction, or at minimum sixteen years old, and capable of forming a binding contract. The service is not available to individuals barred from receiving it under applicable laws, including export controls and sanctions regulations. You may not use the service if you have previously been suspended or removed for cause. By using ARCHON-09, you represent and warrant that you meet these eligibility requirements and that all registration information you provide is accurate and current. If you access the service on behalf of an organization, you further warrant that the organization is duly authorized to operate where it conducts business and to deploy autonomous agents in that context.
You agree to use ARCHON-09 lawfully and responsibly. You may not use the service to violate any law, infringe intellectual property or privacy rights, or engage in fraud, harassment, or abuse. You must not attempt to disrupt, reverse engineer, overload, or gain unauthorized access to our systems or other users' data. You may not deploy agents to perform prohibited activities, including unauthorized access to third-party systems, generation of malicious code, large-scale spam, or circumvention of security controls. You are responsible for the actions of agents you configure and for ensuring that any tools, credentials, and integrations they use are authorized. We may suspend or limit use that we reasonably believe threatens the security, integrity, or lawful operation of the service.
ARCHON-09 enables agents that operate autonomously: they may plan, decide, and execute actions, including invoking tools, calling external APIs, modifying data, and producing real-world side effects without step-by-step human confirmation. You acknowledge and accept that autonomous behavior is inherently non-deterministic and may produce unexpected, erroneous, or harmful results. You are solely responsible for the authority you delegate to agents, the scope of their permissions, the credentials you supply, and every consequence of their execution. You must implement appropriate guardrails, approvals, monitoring, and rollback mechanisms for your use case. You use autonomous agents at your own risk. ARCHON-09 is not responsible for actions taken by agents under your direction or for losses, damages, or liabilities arising from delegated authority or agent side effects.
ARCHON-09 and all associated software, documentation, designs, trademarks, and content are owned by us or our licensors and are protected by intellectual property laws. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal purposes. You retain ownership of the data, configurations, and inputs you provide, and you grant us a limited license to process them solely to operate and improve the service. Outputs generated by agents are yours to use, subject to third-party rights and applicable law. You may not copy, modify, distribute, sell, or create derivative works from the service except as expressly permitted. All rights not granted are reserved.
We strive to keep ARCHON-09 available and reliable, but we do not guarantee uninterrupted or error-free operation. The service may be unavailable due to maintenance, updates, capacity constraints, third-party dependencies, or events beyond our control. We may modify, suspend, or discontinue any part of the service at any time, and we may impose usage limits or rate controls to protect platform stability. Preview and beta features may change or be removed without notice. Unless a separate service-level agreement is expressly agreed in writing, no uptime commitment applies. We are not liable for any unavailability, and you are responsible for designing your agents and integrations to handle interruptions gracefully and to fail safely.
The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the service will be uninterrupted, secure, accurate, or error-free, that defects will be corrected, or that agent outputs will be reliable, complete, or suitable for your purposes. You assume full responsibility for evaluating and verifying any agent behavior, output, or action before relying on it. No advice or information obtained from the service creates any warranty not expressly stated in these terms. Some jurisdictions may not allow certain disclaimers, which may not apply to you.
To the maximum extent permitted by law, ARCHON-09 and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the service or the actions of autonomous agents, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the service will not exceed the amounts you paid to us for the service in the twelve months preceding the event giving rise to the claim, or one hundred dollars if no payment was made. These limitations apply regardless of the theory of liability and form an essential basis of the agreement.
You agree to defend, indemnify, and hold harmless ARCHON-09 and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the service, your data or configurations, the actions of agents you deploy, your violation of these terms, or your infringement of any law or third-party right. This includes claims resulting from authority you delegated to autonomous agents and any side effects of their execution. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our reasonable requests. This obligation survives termination of these terms.
You may stop using ARCHON-09 at any time, and you may request closure of your account. We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these terms, if your use poses a security or legal risk, if required by law, or if we discontinue the service. Upon termination, your right to use the service ceases immediately, and we may delete your data after a reasonable period, subject to legal retention obligations. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law, will continue in effect. You remain responsible for any obligations incurred before termination.
These terms and any dispute arising out of or relating to them or the service are governed by the laws of the jurisdiction in which ARCHON-09 is established, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any dispute, subject to any mandatory consumer protections that may apply to you. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes informally by contacting one another. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information. If any provision of these terms is found unenforceable, the remaining provisions remain in full force.
We may revise these Terms of Service from time to time to reflect changes in our service, business practices, or legal requirements. When we make material changes, we will update the date at the top of this document and provide reasonable notice through the service or by email where appropriate. Your continued use of ARCHON-09 after the revised terms take effect constitutes your acceptance of them. If you do not agree to the updated terms, you must stop using the service. We encourage you to review these terms periodically. For changes that require your consent under applicable law, we will obtain that consent before the change applies to you. The most current version always governs your use.
